Pangilinan's Latest Acquisition
Manuel V. Pangilinan recently acquired a 0.33% stake in Manila Electric Co. (Meralco) directly from SM Investments Corp.'s energy unit, SMGP. This transaction involved 3.77 million Meralco shares, priced at P580.99 per share, totalling P2.19 billion. The purchase forms part of the MVP Group's strategy to consolidate its position in the utility firm.
MVP Group's Near-Majority Holding
This personal investment, combined with Metro Pacific Investments Corp.'s (MPIC) P12.4 billion acquisition last week, elevates the overall MVP Group's stake in Meralco to 49.7%. MPIC now holds 49.4% of Meralco, with Mr Pangilinan personally holding 0.34%.
This combined ownership places the group just shy of the 50% threshold that would necessitate a mandatory tender offer for the remaining shares.
Market Valuation Implications
AB Capital Securities highlighted that the acquisition price paid for these shares was approximately 40% above Meralco's prevailing market price. This premium suggests the MVP Group's strong conviction in the strategic value of its Meralco investment. It also implies that the market may currently be undervaluing the utility company's shares, according to the brokerage.
Future Ownership and SMGP Strategy
SMGP retains a 1.9% stake in Meralco, indicating potential for further ownership changes that could provide additional valuation benchmarks. SMGP plans to reallocate the proceeds from these share sales towards new renewable energy projects.
Investors will look for Meralco's rate reset and clearer guidance on system-loss recovery to influence a full re-rating of the stock, AB Capital Securities stated.
